PATHÉ SUBSCRIPTION TERMS AND CONDITIONS

ARTICLE 1 DEFINITIONS AND APPLICATION
1.1 In these Subscription Terms and Conditions, the following terms are defined as follows:
SUBSCRIBER: The natural person who has entered into an agreement with Pathé, as referred to under Subscription.
SUBSCRIPTION: The agreement between Pathé and the Subscriber that entitles the Subscriber, during the term of the agreement, to access Film Screenings and, if applicable, (discount on) other services and products from Pathé and/or Pathé Thuis.
SUBSCRIPTION FEES: The costs for the Subscription, which are owed by the Subscriber to Pathé.
SUBSCRIPTION TERMS: These terms that, together with the Visitor Terms, apply to the Subscription.
SUBSCRIPTION TYPE: Pathé offers several types of subscriptions that meet your film needs. A list of the different Subscription Types can be found at www.pathe.nl/nl/abonnementen. For specific terms applicable to certain Subscription Types, refer to the name of the Subscription Type as found at www.pathe.nl/nl/abonnementen.
VISITOR TERMS: The visitor terms of Pathé that apply to visiting Cinemas, filed with the Chamber of Commerce under number 33161839 (and also available at the Cinema ticket counter).
CINEMA: A cinema operated by Pathé in the Netherlands.
EXTRAS: Additional services and/or products that you can add to your Subscription, such as extra discounts on Pathé Thuis or an additional person who can use your Subscription.
FILM SCREENING: Any regular film screening in a Cinema; not including private screenings, special premieres, special halls, Specials, and Events. For IMAX, 4DX, ScreenX, Dolby Cinema, Dolby Atmos, and 3D screenings and Specials and Events, a surcharge, as referred to under Surcharge, may be applied.
CUSTOMER SERVICE: Pathé's customer service. All customer service options can be found at www.pathe.nl/nl/help.
PATHÉ THUIS: The service for purchasing Pathé Thuis Content via www.pathe-thuis.nl, offered by Thuisbioscoop B.V.
PATHÉ THUIS CONTENT: SD and HD content that the Subscriber purchases as part of the Subscription via Pathé Thuis.
PATHÉ THUIS CODE: The voucher code that the Subscriber periodically receives as part of the Subscription for purchasing Pathé Thuis Content.
PATHÉ: Pathé Theatres B.V., Barbara Strozzilaan 336-344, 1083 HN, Amsterdam, www.pathe.nl.
PATHÉ CARD: (Club Pathé/Explorer/Unlimited/Unlimited Gold/Family card): A digital card provided by Pathé to the Subscriber containing the Subscriber's name, date of birth, and photo, available via the Pathé App, the Club Pathé app, and www.c.pathe.nl. The card serves as proof of a valid Subscription and is also used to identify the Subscriber.
SNACKS & DRINKS: Food and drinks that you can buy in Cinemas. Some Subscriptions entitle you to discounts on Snacks and/or Drinks.
SPECIALS & EVENTS: A special screening or event, such as a premiere, member night, or Ladies Night.
SURCHARGE: Costs for access to Film Screenings not included in every Subscription, such as but not limited to Surcharges for 3D screenings, 3D glasses, IMAX, IMAX 3D, IMAX 3D glasses, Dolby Cinema, Dolby Atmos, ScreenX, and 4DX screenings, special halls, and Specials & Events.
1.2 These Subscription Terms apply to the Subscription.
1.3 The Visitor Terms also apply to the Subscription. In case of contradiction between a provision in the Subscription Terms and a provision in the Visitor Terms, the provision in the Subscription Terms prevails.
1.4 Pathé reserves the right to unilaterally amend these Subscription Terms, Subscription Types, and Visitor Terms. The most current version of the Subscription Terms and Visitor Terms can be found at www.pathe.nl/nl/voorwaarden. Minor changes to the Subscription Terms as well as the Visitor Terms are deemed accepted by the Subscriber without further action. Pathé will inform the Subscriber of significant changes, which may be to the detriment of the Subscriber, one (1) month before the change takes effect via email. The Subscriber is free to reject these changed terms and terminate the Subscription (online) as of the effective date of the change.
1.5 The applicability of any terms from the Subscriber or third parties is expressly rejected.
ARTICLE 2 CONTENT AND COMMENCEMENT OF THE SUBSCRIPTION
2.1 The Subscription entitles the Subscriber, during the term of the Subscription and as long as tickets are available, to access Film Screenings in a Cinema. The Subscription may also entitle the Subscriber to discounts on Snacks and/or Drinks, Surcharges, and Extras. The Subscription also entitles the Subscriber to discounts on purchasing Pathé Thuis Content as described in Article 2.7. The content, benefits, and any Extras and limitations of the chosen Subscription are specified when subscribing via Pathé's website and in the written confirmation of the Subscription, and are subject to the specific terms of the respective Subscription Type. You can also find this information by logging into your "My Club Pathé" account and navigating to your personal page.
2.2 The Subscription is an online subscription and the Pathé Card is strictly personal and non-transferable.
2.3 The Pathé Card serves as the sole proof of a valid Subscription. Pathé reserves the right to request additional identification when using the Pathé Card.
2.4 Subscribers must be older than eighteen (18) years or have consent from their parent/legal guardian to subscribe. Pathé reserves the right to request proof of the consent given by the parent/legal guardian and terminate the Subscription if Pathé believes that sufficient proof of consent is not provided. The Subscriber is not entitled to a refund of already paid Subscription Fees in such a case.
2.5 Pathé reserves the right to refuse a Subscription to individuals whose previous Subscription was terminated in accordance with Article 4.3.
2.6 Individuals who have been banned from the cinema may not subscribe as long as the ban is in effect.
2.7 Subscriptions entitle the Subscriber to up to 50% discount on up to 4 Pathé Thuis Films each month. This discount only applies to rental films with a maximum price of €5.99 per film. Purchase and premium films are excluded from the discount.
The Subscriber can redeem the discount as follows. The Subscriber receives a monthly email with a unique Pathé Thuis Code for the respective calendar month. The Subscriber must redeem the Pathé Thuis Code at Pathé Thuis. Redeeming the Pathé Thuis Code and viewing Pathé Thuis Content requires registering a user account at Pathé Thuis, which is subject to the general terms of Pathé Thuis, available at www.pathe-thuis.nl/documents/pathethuisvoorwaarden.pdf.
The Pathé Thuis Code provided for a specific calendar month can only be used within that same calendar month and expires automatically thereafter.
ARTICLE 3 DURATION OF THE SUBSCRIPTION
3.1 The Subscription can commence on any day of the current month, for a period of at least four (4) calendar months, starting from the 1st day of the following calendar month, subject to the provisions of Articles 4.3 and 4.4.
3.2 After the period referred to in Article 3.1, the Subscription can be terminated in accordance with Articles 4.1 and 4.2.
3.3 If the Subscription is terminated in accordance with Articles 4.1 and 4.2 and the former Subscriber wishes to subscribe again after the end of the Subscription, the minimum period as referred to in Article 3.1 applies.
3.4 The Subscription starts immediately after purchase. The Subscriber can withdraw (cancel) the Subscription within fourteen (14) days of purchase. Withdrawal has the following consequences:
If the Subscription has not been used by the Subscriber during the withdrawal period, Pathé will fully refund the already paid Subscription Fees to the Subscriber.
If the Subscription has been used by the Subscriber during the withdrawal period, the Subscriber owes a proportional fee for the services already provided until the moment of withdrawal. In that case, Pathé will refund the remaining amount of the already paid Subscription Fees.
To exercise the right of withdrawal, the Subscriber can use the legally prescribed withdrawal form, which Pathé provides via the confirmation email.
3.5 The Subscription can be paused once (1) per calendar year for one (1) month after the initial minimum subscription period of four (4) calendar months, provided the Subscription is not blocked and the Subscriber has no payment arrears. The pause can be requested one (1) month in advance via the "My Club Pathé" account. During the pause, the Subscription cannot be used. The Subscriber will still receive an invoice for the paused month. This invoice will be deducted the following month. The "My Club Pathé" account remains active. It is possible to cancel the pause request until the 17th of the current month.
ARTICLE 4 TERMINATION AND MODIFICATION OF THE SUBSCRIPTION
4.1 A Subscription and/or Extras can be terminated by the Subscriber after the initial minimum subscription period of four (4) calendar months as referred to in Article 3.1. After this period, the Subscriber can terminate the Subscription at any time with one (1) month's notice. The termination takes effect on the day the Subscriber terminates as described in Article 4.2, and the Subscription ends one (1) month after that date. For example: termination on April 5 leads to termination on May 5.
4.2 The Subscriber must terminate the Subscription online. Termination can be done easily by logging into the "My Club Pathé" account via www.c.pathe.nl/nl/subscription and clicking "Terminate my subscription" at the bottom of the page. The Subscriber receives a confirmation of the termination via email, including the date when the subscription will stop. The termination can be undone if done promptly after termination. If Pathé receives a message to this effect after the last invoice is sent, the Subscriber will receive an extra invoice for the remaining days.
4.3 Pathé reserves the right to terminate the Subscription immediately if the Subscriber:
- Has provided Pathé with incorrect information;
- Commits fraud with the Pathé Card;
- Acts in violation of the Subscription Terms and/or Visitor Terms;
- Has not fulfilled the payment obligations under Article 7;
- Is banned from the cinema;
- Is placed on Pathé's blacklist as referred to in Article 4.5;
- Is subject to suspension of payments or bankruptcy.
4.4 If the Subscription is terminated under Article 4.3 and the initial minimum subscription period of four (4) calendar months has not yet elapsed, the Subscriber is required to pay the Subscription Fees for the remaining minimum subscription period. The Subscriber is not entitled to a refund of already paid Subscription Fees, except in the case mentioned in Article 3.4.
4.5 If the Subscription is terminated under Article 4.3, Pathé reserves the right to place the former Subscriber on a blacklist and refuse to enter into a subsequent Subscription with that person. The first placement on the blacklist will be for a period of one year. After this year, the Subscription can be renewed, for which €35 administration fees must be paid. A subsequent placement on the blacklist will be indefinite.
4.6 Subscribers can easily upgrade, downgrade, add or remove Extras, or otherwise modify (hereinafter collectively: modify) their Subscription via the "My Club Pathé" account at www.c.pathe.nl/nl/subscription by clicking "Modify subscription" at the bottom of the page.
When the Subscription remains the same price or becomes more expensive (upgrade), the modification will take effect immediately and any remaining amount for the current calendar month must be paid immediately.
When the Subscription becomes cheaper due to the modification (downgrade), the modification will take effect on the first day of the following calendar month if the modification request is made on or before the 19th of the current month, otherwise on the first day of the subsequent calendar month. For example: if you want to downgrade the Unlimited Gold subscription to an Explorer subscription and you make the request on April 25, the downgrade will take effect from June 1. The difference in the invoice amount will be settled on the next invoice after the modification date.
A modification applies for a minimum of one (1) month after which the Subscription can be modified again. For example, if the Subscription starts on January 4 and a Subscriber wants to upgrade on January 8, it will take effect immediately. The next opportunity to downgrade is February 8 and will take effect on March 1.
4.7 In exception to Article 4.6, it is not possible to modify from an Unlimited (Gold) Subscription Type or Family Subscription Type to an Explorer Subscription Type within the initial four (4) months of the Subscription. It is also not possible to modify the Subscription if it is paused in accordance with Article 3.5.
ARTICLE 5 USE OF THE PATHÉ CARD
5.1 Access to a Film Screening is only possible if the Subscriber holds an online ticket for the screening at the Cinema where the screening takes place.
5.2 The ticket is only valid in combination with the digital Pathé Card, which is available in the Pathé app, the Club Pathé app, or via www.c.pathe.nl. If the Subscriber cannot show a valid Pathé Card, Pathé reserves the right to deny access to the Film Screening. If the Subscription entitles the Subscriber to a discount on Snacks and/or Drinks, the Subscriber must scan the Pathé Card at payment.
5.3 The Subscriber is entitled to a maximum of one (1) ticket per Film Screening unless the Subscription includes Extras that entitle the Subscriber to more tickets per Film Screening.
5.4 Cancelling tickets is possible until the Film Screening starts. Cancellation can be done within the "My Club Pathé" account by clicking "Cancel" on your ticket. If Surcharges have been paid, they will be refunded.
5.5 A Subscriber cannot purchase or reserve a ticket for a screening if the Subscriber already has a purchased or reserved ticket for a screening with a start time within 90 minutes of the other reservation.
5.6 Except for the Explorer Subscription Type, it is possible to have a maximum of eight (8) reserved tickets per Subscriber open. However, it is not possible to have multiple overlapping reservations or purchases open.
5.7 Pathé reserves the right to change or limit the maximum number of reservations of eight (8) at any time for certain Film Screenings. Pathé also reserves the right to temporarily exclude reservations entirely if the Subscriber frequently leaves reservations (unused, not canceled) open. The Subscriber will be warned in advance by email.
5.8 Explorer Subscribers receive one ticket credit per month. This ticket can be used for sixty-two (62) days. This right expires if the Subscription is modified or terminated. The first ticket credit issued when creating the Explorer subscription is valid until the first day of the next month. It is not possible to cancel the first ticket credit.
ARTICLE 6 PRICE
6.1 The rates for the different Subscriptions can be found at www.pathe.nl/nl/abonnementen. Pathé reserves the right to change the price of the Subscription as a result of changes in VAT rates or other changes. Regarding other changes, Pathé will notify the Subscriber at least one month in advance. The Subscriber has the option to reject the price change. In such a case, the Subscriber has the right to terminate the Subscription as of the date the price change is implemented.
6.2 Pathé reserves the right to close or limit the opening of a Cinema for up to fourteen (14) days per year for special occasions, during which the Subscription is not valid at the respective Cinema. The Subscriber can use all other Cinemas within the specified days and is not entitled to a refund of Subscription Fees for this period.
ARTICLE 7 PAYMENT
7.1 Subscription Fees are due monthly and, except for the first term, are paid monthly via direct debit. At the time of subscribing, the first term must be paid immediately. This is the pro-rated amount for the remaining days of the respective calendar month and the monthly amount for the next calendar month. The bank account used by the Subscriber to pay for the first term will be used by Pathé for the direct debit of subsequent terms of the Subscription Fees.
7.2 By paying the first term, the Subscriber authorizes Pathé to (possibly through a third party engaged by Pathé) proceed with the monthly direct debit of the Subscription Fees.
7.3 It is not possible to pay the Subscription Fees at a Cinema.
7.4 If the direct debit is reversed for any reason, Pathé reserves the right to suspend its obligations under the Subscription and temporarily deactivate the Subscription. The Subscription will be reactivated once the full amount of the owed Subscription Fees is credited to Pathé's account and processed in Pathé's administration. The Subscriber is not entitled to a refund of Subscription Fees for the period the Subscription was deactivated. If the Subscriber has not made payments for four (4) months, Pathé reserves the right to terminate the Subscription. The Subscriber will be informed via email. Furthermore, the Subscription Fees for the initial minimum subscription period of four (4) calendar months must also be paid for the months that lapse during the blockage of the Subscription.
7.5 If the Subscriber does not fulfill the payment obligations of the Subscription in a timely manner, as described in these terms, the Subscriber will owe any resulting collection costs and possible interest costs. Pathé may also transfer the payment claim to a collection agency designated by Pathé. The (other) costs that Pathé reasonably incurs as a result of this non-compliance by the Subscriber will be borne by the Subscriber.
7.6 The Subscriber pays all payments in single monthly installments. Deviating amounts will be refunded and will not qualify as valid payment.
ARTICLE 8 CUSTOMER SERVICE
8.1 For questions about these Subscription Terms or the use of the Subscription, the Subscriber can contact Customer Service. This also applies to questions regarding payments, the Pathé Card, requests from the Subscriber to view or modify their personal data, and/or to object to the use of their personal data for direct marketing purposes or the (further) receipt of certain marketing information.
ARTICLE 9 CUSTOMER DATA
9.1 The Subscriber is always responsible for the accuracy of their data and promptly informs Pathé of changes to these data, such as changes in name, address, email address, phone number, and/or bank account number.
9.2 If the Subscriber does not timely inform Pathé about the accuracy of the Subscriber's personal (contact) data, Pathé is not liable for any costs incurred by the Subscriber due to incorrect information.
9.3 Pathé processes personal data of Subscribers in accordance with its Privacy Statement, which can be found at www.pathe.nl/nl/info/pathe-privacy-statement.
ARTICLE 10 LIABILITY
10.1 Pathé accepts no liability for direct and indirect damage resulting from offering the Subscription and/or the use of the Subscription by the Subscriber, as far as this is permitted by mandatory law. 10.2 If Pathé is liable to the Subscriber for damage for any reason, Pathé is only liable for direct damage suffered by the Subscriber as a result of an attributable failure by Pathé and/or unlawful act. The total liability of Pathé under the Subscription will never exceed the Subscription Fees for one (1) year. 10.3 Pathé is never liable for consequential damage, including pure financial loss, lost profit, and immaterial damage. In particular, Pathé is not liable for damage in connection with and/or as a result of:
termination or modification of the Pathé Card program;
obvious typing, printing, or typesetting errors in Pathé's offers;
communication defects related to hardware, software, network, or other computer problems; and/or
inaccessibility of Pathé's website. 10.4 The liability limitation included in this Article 10 does not apply in case of intent or gross negligence (reckless behavior) by Pathé. 10.5 The condition for the emergence of any right to compensation is always that the Subscriber reports the damage to Pathé in writing as soon as possible after it occurs. Any claim for compensation against Pathé expires simply by the lapse of twelve (12) months after the occurrence of the claim.
ARTICLE 11 MISCELLANEOUS PROVISIONS
11.1 All legal relationships between Pathé and the Subscriber are exclusively governed by Dutch law. 11.2 All disputes arising between the Subscriber and Pathé will be submitted to the competent court in the Amsterdam district.
11.3 Pathé may transfer rights and obligations arising from the Subscription and the Subscription Terms to third parties and will inform the Subscriber of this. If the Subscriber finds this transfer of obligations to a third party unacceptable, the Subscriber can terminate the Subscription in the manner mentioned in Articles 4.1 and 4.2.
11.4 Pathé has the right to engage third parties in the execution of the Subscription.
11.5 If any provision of these Subscription Terms is declared void or annulled, the remaining provisions will remain in full force. Pathé will then establish a new provision to replace the void/annulled provision, taking into account the intent of the void/annulled provision as much as possible.
11.6 If Pathé does not invoke a right or authority granted to it under the Subscription or the law at any time, this does not constitute a waiver of that right or authority.
